Firstly, it is one of the certain trend reversal formations. It signs that upward trend is about to end.
Basically, Head-Shoulders formed by a peak(left shoulder) followed by a higher one(head) and then another lower peak(right shoulder)
The head is the second and the highest point that the price reaches.
The two shoulders can't pass the hight of the head. Otherwise, the pattern would not be prevailing.

The head is the ultimate success of the bulls. However, when the price declines to the first peak of the left shoulder, bears drop the price to the neckline(the ground price). Consequently, bears take over and drive the trend reversal way.

A valley is formed(left shoulder), followed by a lower one(head) and another valley higher than the previous one(right shoulder)
When the price exceeds the neckline, the reversal is carried out. The new trend will be upward hereafter.
